TC Transcontinental has announced the sale of its entire packaging business to ProAmpac for approximately 2.1 billion Canadian dollars (CAD).

This major transaction significantly reshapes the company’s profile as it approaches its 50th anniversary. 

For Isabelle Marcoux, C.M., Chair of the Board, the deal is part of a clear strategy to create shareholder value. “This transaction delivers immediate and meaningful value with a substantial premium. In an industry undergoing consolidation, we are acting decisively and from a position of strength,” she said. She also praised the teams that have built the packaging division since 2014. 

Following this divestiture, TC Transcontinental plans to pay a distribution of approximately 20 CAD per share and refocus its efforts on its core businesses: retail services, printing, and educational publishing. “The new TC Transcontinental will be a strong Canadian company, headquartered in Montreal and committed to expanding its presence nationally,” Marcoux added. 

For ProAmpac, a U.S.-based flexible packaging group, the acquisition opens new growth opportunities in protein, dairy, and healthcare packaging segments. 

The transaction is expected to close in the first quarter of 2026, subject to regulatory and shareholder approvals.
