Kimberly-Clark Wins Shareholder Approval for Kenvue Deal

Shareholders of Kimberly-Clark and Kenvue have overwhelmingly approved the proposals required to complete Kimberly-Clark’s acquisition of Kenvue, marking a major milestone toward the creation of a global health and wellness leader.

The approvals were secured at separate special meetings of stockholders held on January 29, 2026. Based on preliminary voting results, approximately 96% of the shares represented at Kimberly-Clark’s meeting supported the issuance of shares related to the transaction. At Kenvue’s meeting, about 99% of votes cast—representing roughly 77% of outstanding shares—approved the merger agreement.

Kimberly-Clark Chairman and Chief Executive Officer Mike Hsu said the vote reflects strong shareholder confidence in the strategic rationale of the transaction. He added that integration planning between the two companies is already underway, underscoring expectations for long-term value creation.

Kenvue Chief Executive Officer Kirk Perry also welcomed the outcome, highlighting growth opportunities for the combined organization and the potential to accelerate innovation and expand access to trusted consumer health brands worldwide.

Final voting results remain subject to certification by the companies’ independent inspectors of elections and will be disclosed in filings with the U.S. Securities and Exchange Commission.

The transaction is expected to close in the second half of 2026, pending regulatory approvals and the satisfaction of customary closing conditions. Once completed, the combination is intended to strengthen Kimberly-Clark’s position in the global health and wellness market, bringing together complementary brand portfolios and capabilities.
