Stora Enso names board candidates for forest spin-off

Stora Enso has announced the proposed members of the Board of Directors for the new forest asset company it plans to demerge, as preparations advance for a transaction expected to be completed in the first half of 2027.

The proposed board would serve as the inaugural governing body of the new company, subject to shareholder approval of the demerger plan at an Extraordinary General Meeting to be held ahead of the separation.

According to the group, the proposed directors bring a broad mix of expertise across forestry, finance, investment management, sustainability and strategic marketing. Marcus Wallenberg, chair of Stora Enso’s Shareholders’ Nomination Board, said the proposed composition is intended to support strong governance and long-term sustainable growth for the new forest-focused entity.

Johan Trolle-Löwen has been proposed as Chair of the Board, bringing extensive executive experience in forestry and industrial management. Jannica Fagerholm has been proposed as Vice Chair, with a long-standing background in finance and investment management. Other proposed board members include Helen Fasth Gillstedt, Magnus Fernström, Timo Mäkinen and Catharina Stackelberg-Hammarén.

The nominations form part of the formal demerger plan and remain subject to shareholder approval. Stora Enso has positioned the planned separation as a way to sharpen strategic focus, with the new company expected to manage and develop the group’s forest assets as a standalone entity.
